并购的成本效应分析与企业的可持续发展
 
摘要: 随着全球经济1体化的迅速发展，企业间面临着越来越激烈的竞争。1股企业间的兼并、收购浪潮正在兴起。通过并购，企业可以有效实现资源的合理配置，扩大生产经营规模，实现规模经济效应、纵向整合效应与协同效应，降低交易成本，以达到利润最大化的目的。如何运用并购手段，参与国内外市场的竞争，提高企业核心竞争能力，实现企业的可持续发展，是摆在企业面前的1个重要课题。本文在引用企业并购基本概念和特点的基础上，对并购的3种主要动因与形式进行分析。然后就企业并购成本效应的正反两方面进行分析，指出企业并购的正面效应是交易成本的降低，负面影响是管理成本的提高。最后就并购企业可持续发展的相关问题进行讨论，分析并购企业在可持续发展方面存在的问题并提出有效的解决措施。

The Effect Analysis of Merger and Acquisition and Enterprise’s Sustainable Development
               
Abstract: Along with rapid development of the global economic integration, enterprises have confronted more and more intense competition. A wave of enterprises merger and acquisition is on the rise. Through enterprises merger and acquisition, enterprises can realize the rational allocation of resources, enlarge production scale, And it can achieve economies of scale effect, longitudinal integration effect and coordination effect .And it can cut trade cost down, which allow them to attain the aim of getting maximum profits. However, it is an important subject putting ahead of enterprises that how to use enterprises merger and acquisition to participate in domestic and foreign market competition, promote enterprises core competition power and attain sustainable development .The paper first analyses three major merger and acquisition agents and formations on the basis of quoting the concept and feature of enterprises merger and acquisition. Then it also analyses reverse side and direct side of enterprises merger and acquisition, pointing it out that the positive effect of enterprises merger and acquisition is to cut trade cost down, while the negative effect is to increase management cost. Last, the paper discusses relevant problem about the sustainable development of enterprises merger and acquisition, and it not only analyses the present problem of enterprises’ merger and acquisition in sustainable development, but also proposes some effective solution.
