公交企业资产重组问题研究

【摘要】 本文主要研究资产重组对于解决我国公交行业面临的资金问题所发挥的重要作用。目前由于我国城市化进程的加快与对公共交通的更高要求之间的矛盾日益突出,其焦点便指向公交发展的资金瓶颈问题,资金问题解决不了,城市公交进程必然会跟不上新的市场经济条件下稳步发展的形势。于是,在新的经济形势下,探索如何解决城市公共交通建设的资金来源,减轻国家负担,走出适合我国国情的城市公交发展道路,成为面临的一个首要问题,于是便引出了资产重组这一研究课题。论文的主要内容包括绪论、我国公交行业发展遇到的资金困难和在公交行业进行资产重组的重要意义、资产重组的相关理论以及XX公交总公司资产重组的实例分析这几部分。第一章绪论部分主要提出了研究的背景和意义,对国内外企业进行的资产重组进行了简单的比较分析。第二章首先简单分析了目前我国公共交通企业的发展现状及遇到的资金困难,提出了资产重组这一可行性方式,并对国内外企业进行的资产重组进行了简单比较分析。具体研究在公交行业发展中由于各方面因素影响导致遇到的资金困难和问题,并且重点分析了我国公交企业进行资产重组的成功先例——上海巴士实业股份有限公司,通过对其成立发展过程的分析研究,对同行业的资金问题的解决提供了可借鉴的指导经验。第三章对资产重组的定义、原则、内容和模式、意义以及基本流程等相关理论进行了详细分析,提出了本文的理论基础。第四章通过对XX公共交通现状的研究,得出进行资产重组的必要性与可行性,并对XX公交总公司的资产重组即XX公交巴士股份公司的成立过程进行了详细分析

【Abstract】 This paper mainly studies assets reorganization plays an important role in solving fund problem for public transport industry. Because of the contradiction between the rapid development of urban size and higher demands for public transportation has become increasingly conspicuous at present, which its focus towards funds bottlenecks, and the public traffic processing cannot follow the development situation with steady steps of new market economy if the fund problem cannot be solved better. Thereupon, explore how to solve the fund source for urban public traffic construction and lighten the burden for the country become the prime problem to be solved and introduce the subject of assets reorganization.In this paper, the main contents include introduction、the fund problem for public transport industry、significance of asserts reorganization for public transport industry、correlation theory of assets reorganization and research on assets reorganization of XX public transportation corporation, etc. The first chapter introduce the background of thesis-choosing and the significance for the research, and simply analyses the assets reorganization in the home and abroad. The second chapter outlines the development and fund problem with public traffic corporation in our country at present, bring forward the feasible method which is assets reorganization and then compare and analyses the assets reorganization in company home and abroad, and is a specific study on fund problem in developing of public transport industry based on every factor, and emphatically analyzes asuccessful precedent--Shanghai bus limited company, through the research ofits developing process can offer some good experiences for other public transport industry to study. The third chapter detailed analysis the correlation theory of assets reorganization and bring forward the theoretical basis of this paper. The fourth chapter investigates the states of Xi'an public traffic and educes the necessity and feasibility of assets reorganization, and then detailed analysis the assets reorganization of XX public transportation corporation.
