票号的组织架构与风险防范范文

摘要：晋商是中国历史上存在时间长达500年之久的商帮，在长期的经商过程中，晋商积累了大量资本和经营管理经验，富甲海内。票号无疑是晋商发展最光彩的辉煌时期。票号实行所有权与经营权的分离，东家作为所有者不参与票号的经营与管理。东家最主要的责任就是选一个德才兼备的大掌柜，然后全权授权经营。票号的组织管理实行总号集权制、总号统辖分号制。票号组织机构，一直保持因事设人、精简高效原则。总号统管分号一切，从分号机构的设立，到分号经理和重要伙友人选的任命、调遣，均由总号确定。总号与分号的关系十分密切。票号在全权授权经营的治理结构下，创立了一套严格的风险管理防范的制度。这套制度包括组织架构，对经理的聘用，员工的管理，财会制度、防伪制度，以及相应的督察制度。

        1.历史背景
        中国漫长的封建社会曾有过相当发达的商品经济，必然有为之服务的金融业。中国封建社会中金融业的包括典当、印局、钱庄、账局和票号。票号从事大宗存贷款及银钱汇兑，产生于道光初年。票号的产生是历史发展的必然结果，产生于晋商也有其历史必然性。晋商是中国历史上存在时间最长、也是最成功的商帮，在长期的经商过程中，晋商积累了大量资本，富甲海内。晋商奉行“以义制利”，其诚信和商德饮誉海内外。资本、信誉和分号正是金融业成功的基础，晋商在票号产生前的典当、印局、钱庄和账局的经营中都相当成功，这是票号产生于晋商的基础。
        票号出现后经历发展、辉煌与衰亡的不同阶段。1823~1853年是票号的形成时期。1853~1863年是票号受太平天国起义打击的受挫时期。1863~1893年是票号的鼎盛时期。这一时期，票号的业务由以商人为主要客户转向以政府财政汇兑和贷款为主，票号的业务和利润大增。1893~1911年是票号的危机时期，20世纪初的战乱和动荡沉重打击了票号，随着清王朝的衰亡，使严重依赖清政府的票号迅速衰败。清政府灭亡时，欠票号白银700余万两，票号遭受致命的一击。
