公司治理中小股东利益的保护律毕业论文

摘  要

小股东利益的保护是我国公司治理中必须解决的问题。2005年新修订的《公司法》通过对控股股东的权利限制，赋予了小股东1定的权利，增强了对小股东利益的保护。其中具有代表性的有赋予小股东股东大会的召集请求权和自行召集权，异议股东股份回购请求权制度，累积投票制度，独立董事制度等等，这些制度能有效平衡大股东与小股东之间的利益，但仍有某些制度缺乏1定的可操作性，有待进1步完善。

Abstract

The protection of the minority shareholders’ interests is the problem that we must solve in the corporate governance. The "Company Law" which has been revised in 2005 gives the minority shareholders certain rights and enhances the interests of minority shareholders protection through holding restrictions on the rights of shareholders. There are some representative systems such as giving the right to the minority shareholders to ask for holding the general meeting of shareholders and convene by themselves, the appraisal right of dissenters, the cumulative voting system, the system of independent directors and so on. These systems can effectively balance the interests between controlling shareholders and minority shareholders, but there is still lack of workable. It needs to be further improved.
